Hope and Kindness License Agreement — Cost Structure & Customer Terms
Cost Structure
License Fees (Annual)
- 1-10 Employees: $2,500/year (1 TB data storage)
- 11-50 Employees: $10,000/year (2 TB data storage)
- 51-100 Employees: $25,000/year (3 TB data storage)
- 101-500 Employees: $50,000/year (5 TB data storage)
- 501-1000 Employees: $75,000/year (10 TB data storage)
- Over 1,000 Employees: $150,000/year (15 TB data storage)
Additional Storage Fees
- $50 per additional terabyte per month over the included storage limit.
Per-User Fee
- $19.99 per user per month, billed in accordance with the number of users licensed.
Payment Terms
- Initial annual license fee is due upon execution of the agreement.
- Invoices are payable within 30 days of receipt.
- Late payments may result in service suspension and collection of legal fees.
Renewals & Term
- After the initial 12-month term, the agreement renews month-to-month unless 30 days’ written notice is provided.
Non-Refundable Fees
- All license fees, user fees, and data storage fees are non-refundable.
Key Terms for the Customer
Licensing & User Access
- License grants a non-exclusive, non-transferable right to use OmegaPoint’s SaaS platform for internal business operations only.
- Each license is tied to an individual user and cannot be shared.
- Licenses may be reassigned to new users when replacing previous users.
Permitted Use
- The platform cannot be resold, sublicensed, or commercially exploited.
- The platform cannot be modified, reverse-engineered, or used to create competing products.
- Access by unauthorized third parties is prohibited.
Onboarding & Setup
- OmegaPoint will begin the onboarding process within five business days after execution and payment.
Service Suspension & Termination
- Services may be suspended after 30 days of non-payment.
- OmegaPoint may suspend service if customer use causes harm to OmegaPoint systems or other customers.
- Either party may terminate for material breach, with 60 days’ notice and opportunity to cure.
Customer Data Handling
- Upon termination, OmegaPoint will allow data retrieval before deleting all customer data, unless legally required to retain it.
- Additional charges apply if OmegaPoint assists in returning hardware, software, or large data transfers.
Customer Responsibilities
- Customers must maintain internet access and related equipment.
- Customers are responsible for data privacy, export law compliance, and data security.
- Customers must prevent unauthorized access to the platform.
- Customers must provide accurate and legal data.
Support & Maintenance
- Regular product support, updates, and maintenance are included.
- Scheduled maintenance will be coordinated to minimize disruption.
- Emergency maintenance may occur with notice.
